Highly experienced CFO who has twice managed private companies through periods of explosive growth and eventual successful sale. Public company CFO experience. Extensive budgeting and forecasting experience. Strong controllership skills.  Specific areas of competence include:

Accounting and financial reporting: Over twenty years experience preparing financial statements and management reports. Extensive experience with periodic SEC filings and registration statements as an auditor. CFO responsible for periodic SEC filings and NASDAQ requirements. Recent experience with Sarbanes-Oxley and documentation of internal controls.

Acquisitions and purchase accounting: extensive experience as an auditor with due diligence and purchase accounting. CFO responsible for purchase accounting and financial integration, financial modeling, due diligence and earn-out arrangements on both buyers and sellers sides. Experience negotiating valuations and deal points for both purchase and sale of companies. Extensive work with lawyers, public accountants and investment bankers.

Banking relationships and cash management: Fifteen year of responsibility for cash management in situations ranging from negative cash-flow and loan default to positive cash-flow and adequate credit. Managed relationships with local and national financial institutions. Twenty years of hands-on accounts payable and accounts receivable management experience.

Payroll and benefits: implemented new payroll systems, managed payrolls ranging from 25 to 3,000 employees. Significant role in designing and implementing incentive plans for management and sales employees. Fifteen years experience negotiating health insurance plans, experience implementing self-insured plans. Fiduciary for four different 401(k) plans, experience implementing new retirement plans, implementing safe-harbor plan designs and changing plan custodians.

Taxes, registrations and shareholder records: Over twenty years experience managing federal tax filings and multi-state requirements for licenses, registrations and tax reporting. Responsible for licensure as a collection agency in multiple states. Corporate secretary responsible for maintaining shareholder and stock option records.

Systems implementation: Extensive experience as a project manager in conversion engagements as an auditor. CFO responsible for implementation of new financial systems including Oracle, Epicor, and Great Plains. Managed internal development of a critical production system.

Call center construction and operations: Extensive experience reviewing real estate leases and managing facilities build-outs. Supervised design and build-out of 100 person call center for customer service; part of management team operating two 500 person call centers (in-bound and out-bound) for customer service and collections.

Other related skills: Extensive experience on both sides of IP licenses and with related accounting issues. Fifteen years experience with risk management and insurance, extensive experience with workers compensation and safety programs, considerable background in hardware procurement and contract negotiation.
